Right to use Trademarks and Photographs; Permits and Licenses:
- Customer represents and warrants that it has the right to use any trademark, trade name, or copyrighted material included in any copy submitted to Cristal Clear Beach S.A., and Seccionpaginasamarillas.com.do. Customer also represents and warrants that it has the right to use any artwork, portrait, picture or illustration of a person shown in any copy submitted to us. Customer will notify in writing, if Customer should cease to have any such right. Customer assumes sole responsibility for the protection of its property rights in any writing, pictorial illustration, design, map, photograph, or combination thereof, included in its print advertising or the Internet Services
- Customer represents and warrants that it holds all necessary permits and licenses to provide the products and services identified in the Internet.
- The Advertiser (The Client) grants Cristal Clear Beach S.A. and seccionpaginasamarillas.com.do as the Publisher a nonexclusive and royalty-free license as provided in this Agreement; in Publisher’s databases, including for archival purposes; and in on-line advertising formats or other media.
Sales Rep. Not Authorized to Make Changes:
The sales representative has no authority to make any changes in this agreement or to commit Seccionpaginasamarilla.com.do in any manner whatsoever in contradiction to the provisions expressly set forth in this agreement.
Authority; Persons Obligated; Signer Obligated:
The signer agrees that he/she has the authority and is signing this agreement (1) in his/her individual capacity, (2) as a representative of the Customer, and (3) as a representative of the entity identified in the advertisement or for whose benefit the advertisement is being purchased (if the entity identified the advertisement is not the same as the customer or the signer). By his/her execution of this agreement, the signer personally undertakes and assumes, jointly with the customer, the full performance of this agreement, including payment of the amounts due hereunder.
Advertising:
Customer hereby grants to Cristal Clear Beach S.A. and Seccionpaginasamarilla.com.do a perpetual, royalty-free,
sub-licensable, non-exclusive right and license to use, copy, record, modify, display, publish, perform, prepare derivate works based on and distribute (for our sole benefit and in any form or media now known or hereafter developed, and in any and all forms.
Customer’s Additional Representations and Warranties:
Customer represents, warrants and covenants that Customer has the necessary rights to provide all information provided under the Agreement (including all content, data, data feeds, listings, titles, URLs, descriptions and, if applicable, selected keywords for use as described in the Agreement, and that all such information and all claims, statements, products and services contained or referenced therein and in the Web site(s) to which it links: (a) do not violate any law, statute, ordinance, treaty, or regulation or policy or guideline of this web site; (b) do not infringe any copyright, patent, trademark, trade secret or other property right of any third party; and have not otherwise resulted in or are not likely to result in any consumer fraud, product liability, (c) are not false, deceptive or misleading; and will be free of any pornographic material.
INDEMNIFICATION:
The customer (The Client) agrees to indemnify and hold the Publisher, being Cristal Clear Beach S.A. and Seccionpaginasamarillas.com.do, its directors, officers, employees, representatives, affiliates from any and all liability to third parties regardless of the form of action, whether in contract, or otherwise, concerning or relating to this Agreement. Such indemnification includes, without limitation, breach of this Agreement by Advertiser (The Client), breach of the representations and warranties made herein by The Client, and libel, infringement, or copyright, or unauthorized use of any Intellectual Property arising out of or alleged to have arisen out of this Advertisement.
NOTIFICATION REQUIREMENT;
Advertiser (The Client) agrees to notify Cristal Clear Beach S.A. immediately and in writing of any change in ownership or breach of any of its duties under the Agreement.
PROOF OF DISPLAY ADS AND TRANSLATION;
Cristal Clear Beach S.A. will send Advertiser (The Client) a proof by email containing the Display Ad at which the Client will respond with any corrections. Should Advertiser fail to respond in the time frame specified, it is agreed that the Advertiser has no changes and that its Display Ad is correct as presented in the proof. After the agreed to changes are made, or after the time has expired and Advertiser has not made changes, Publisher shall publish it in the Directory and/ or Website without any additional approval by Advertiser. Advertiser acknowledges that there are many dialects spoken among the Spanish- Speaking public and that no single translation will have the same meaning for all members.
LIMITATION OF LIABILITY;
Advertiser agrees that in no event will Publisher’s liability foe any claim, damage, hackers, or expense related to the Advertisement exceed the total amount paid for the Advertisement containing the error or omission, Publisher is specifically not liable for lost profits of Advertiser; special, incidental or contingent damages suffered by Advertiser cannot be invalidated should the Advertisement appear in the Directory and or website with typographical errors, translation errors, incorrect additions or omissions. Publisher will correct all such errors or omission when they are reported to Publisher in writing within 30 days. It is agreed that Advertiser and Publisher shall make all reasonable efforts to comply in good faith with all teams of this Agreement. Advertiser may not assign any of its obligations under the Agreement without the prior written consent of Publisher.
GOVERN LAWS;
The laws of the Dominican Republic shall govern the validity, construction, interpretation, and effect of this Agreement.
